BYLAWS

Article I. Membership

All persons listed by the NCA as emeritus members and who have duly selected the Emeritus / Retired Members Section as an interest group shall be considered as Section members. Those who are retired but do not hold NCA emeritus status and any member interested in promoting the purposes of the Section may become Section members by duly selecting the Emeritus / Retired Members Section as an interest group.

Article 2. Meetings

Section 1. The annual meeting of the Section shall be held at the time and place to be designated by the Vice Chair in Consultation with the First Vice President of NCA.
Section 2. All meetings of the Section shall be open to all members.
Section 3. The Section shall assume no responsibility for statements of opinion expressed at the annual meeting or at any program or event sponsored by the Section.

Article 3. Nominations and Elections

Section 1. All elections shall take place at the annual meeting of the Section.
Section 2. The Nominating Committee shall nominate at least one person for each vacancy to be filled.
Section 3. Additional nominations for each vacancy may be made from the floor by any member attending the annual business meeting providing written permission is obtained from the member being nominated.
Section 4. All voting for elections shall be conducted by a showing of hands unless the majority of those present and voting at the annual business meeting vote in favor of a secret ballot.
Section 5. To be elected, a nominee must receive a majority of the votes cast by Section members present and voting. In the event that more than two are nominated for a vacancy and no one receives a majority of the votes cast, a run-off election between the two nominees receiving the most votes shall be held immediately.
Section 6: The Vice Chair Elect shall be elected at the annual business meeting held one year from the date he or she assumes office. All other nominees elected shall assume office upon conclusion of the convention where elected.

Article 4: Duties of Officers and Chair of the Publications Committee

Section 1. The Chair shall preside at all business meetings and meetings of the Executive Committee and shall perform all duties normally adhering to this office.
Section 2. In the absence of the Chair, the Vice Chair shall preside at all business meetings and meetings of the Executive Committee and shall perform all duties normally adhering to this office. The Vice Chair shall, in consultation with appropriate section and NCA officers, engage in preliminary annual meeting program planning for the following year’s convention program.
Section 3. The Vice Chair Elect shall in consultation with appropriate Section and NCA officers, engage in preliminary annual meeting program planning a year in advance.
Section 4. The Secretary shall prepare minutes of the meetings of the section and the Executive Committee and provide appropriate information to SPECTRA and perform other customary duties adhering to this office. The Secretary shall allocate these funds in consultation with the Executive Committee.
Section 5. The Chair of the Publications Committee shall be responsible for collecting appropriate information and disseminating that information in a timely manner to the members of the Section in the Section’s Newsletter. In consultation with the Chair of the Publications Committee shall coordinate and direct all other publication activities of the section.

Article 5: Parliamentary Authority

In absence of any provisions to the contrary in the Constitution and Bylaws, all business meetings of the section and the Executive Committee shall be governed by the parliamentary procedures contained in ROBERTS RULES OF ORDER, current edition.

Article 6: Amendments

Section 1. Amendments to the Bylaws may be initiated by the Executive Committee or by any bona fide member of the section at the annual business meeting. Any proposed amendments must be submitted in writing.
Section 2. Such proposed amendments require a majority vote of the members present and voting at the annual business meeting for passage.
