CONSTITUTION

Article I: Name

Section 1. The name of this organization shall be the Emeritus/Retired Members Section.
Section 2. The Emeritus/Retired Members Section exists by authority of Legislative Assembly of the National Communication Association.
Section 3. Official use of the sections name shall be made only through the authority of the Chair, the Executive Committee or a majority vote by the members at the annual business meeting.

Article II: Purposes

Section 1. The purpose of the Section is to promote research and other activities related to the common interests of the emeritus / retired members and of the National Communication Association.
Section 2. The Section shall serve as an advocate of the interests of the emeritus / retired members in matters relating to the general welfare of these members within the NCA.
Section 3. The Section shall develop avenues of communication among emeritus / retired members and with other units within the NCA to gather and disseminate information bearing on their shared concerns and interests.

Article III: Membership

Membership in this Section is open to any member of the NCA who is interested in promoting the Section’s purposes.

Article IV: Officers

Section 1. The officers of the Section shall be the Chair, Vice Chair, Vice Chair Elect and the Secretary.
Section 2. The Vice Chair shall succeed to the office of Chair.
Section 3. The Vice Chair Elect succeed to the office of Vice Chair.
Section 4. The duties of the officers shall be specified in the Bylaws.
Section 5. In the event of the incapacity of an officer, the Executive Committee shall, at its discretion, select a replacement or establish a nomination and election procedure for so doing.

Article V: Legislation and Administration

Section 1. The membership of the Section while in session at the annual business meeting shall be the primary policy making body of the Section.
Section 2. The Executive Committee shall administer the policies of the Section and shall between annual business meetings serve as the chief administrative authority with the power to act for the Section.

Article VI: Committees

Section 1. The Executive Committee shall consist of the Chair, Vice Chair, Secretary, Chair of the publications Committee and the Immediate Past Chair.
Section 2. The Nominating Committee shall consist of the Immediate Past Chair who will chair the Committee and two at-large members selected by the membership at the annual business meeting.
Section 3. The Publications Committee shall consist of a Chair appointed by the Executive Committee and two members selected by the Committee Chair. The Chair of the Committee is appointed for a three year term.
Section 4. The Section shall have such other standing committees and ad hoc committees as are necessary to conduct the business of the Section. Such committees may be appointed at the discretion of the Chair, the Executive Committee or by a majority vote of the members attending the annual business meeting of the Section.

Article VII: Amendments

Amendments to this constitution may be submitted by the Executive Committee or any bona fide member of the Section at the annual business meeting. Such proposed amendments must be presented in written form and require a 2/3 vote of those members present and voting at the annual business meeting for passage.
